Option 2 is what I use w/ wavepad and have yet to have a problem.

mp3 to mp4 is absolute waste of time. it won't make any difference. the only way a Wav or any format would sound great is if was recorded directly from the original source in that particular format.
For example, if a musician released a CD. You could rip that CD in 44Khz. 16bit format as a Wav file. From there you could convert it into many other formats, but you can't go backwards from an mp3 or any other "lossy" format. Only lossless formats can be converted into other lossless formats.
you could do Wav to Mp4 with Winamp and a correct winamp plugin, I believe.

I haven't really noticed any sound in quality but m4a files take up less space which means more song I can fit. I see where you are coming from but I have to disagree, more music the better.

if you are wanting to do this for songs you can use itunes or real player to convert your music to mp4 or m4a (known as AAC)
quictime pro will also do it - i use quicktime pro for making aac ringtones.
